Why it matters: Most people can’t save a $50,000 down payment. With fractional ownership, your network can get in with as little as $100–$5,000 depending on the legal structure.

Form the Legal Container

You must separate each property from your personal assets. Each property should have its own LLC (Limited Liability Company) or “Series LLC.”
  • File the LLC with the state (e.g., Delaware or Florida).
  • Apply for a free EIN at IRS.gov.
  • Open a business bank account in the LLC name.
Example: Form “Network Cleveland Four Unit LLC.” Investors buy membership units in the LLC, not the deed directly.

Choose the Fundraising Path

There are three main “doors” to legally raising investor money in the U.S. Each has rules, limits, and specific investor types.

Strategy: Start with 506(c) if you have 100 accredited members ready. Use Reg CF (via portals like Wefunder or StartEngine) to open access to your whole community. Move to Reg A when scaling nationally.

Build the Investor Flow

Investors need a clear, professional process. Use tools like JuniperSquare, InvestNext, or Agora to manage the flow.

> Subscription Agreement: Investor signs, commits money, confirms understanding.

Collect Funds & Close

Funds are collected legally based on your regulation path (e.g., direct wire for 506c, or Escrow for Reg CF).

Once the target is met, the LLC signs the purchase contract, the deed transfers to the LLC name, and you update your "Cap Table" (ownership ledger) to reflect each investor's shares.

Taxes, Payouts & Management

Hire a property manager or use software like Appfolio or Buildium to handle rent and repairs.

Send monthly or quarterly distributions pro-rata based on ownership percentage. At the end of the year, the LLC files Form 1065, and each investor receives a Schedule K-1 showing their share of income, losses, and depreciation.

Optional: Tokenization

To scale and provide liquidity, you can turn ownership into digital tokens for easier tracking and secondary trading using the ERC-3643 token standard. Partner with regulated platforms like Securitize, tZERO, or INX.
